Applicability

The present General Term and Conditions shall apply to all business relations between Utility Automation Consulting Lohmann (UAC_L) and its customers, as defined at the time of conclusion of the contract as far as these refer to business transactions carried out by electronic means.
These General Terms and Conditions shall apply exclusively. Conflicting conditions of the customers conditions differing from those indicated in our General Terms and Conditions cannot be accepted, unless approved by UAC_L in writing in individual cases.

Conclusion of Contract

The contract of sale concerning the article(s) selected by the customer shall be concluded when UAC_L accepts the order by notification of delivery of the goods. Confirmation of receipt of order shall not constitute the conclusion of a contract.

Right of Withdrawal

The customer may be entitled to withdraw his declaration to conclude a contract within two weeks after receipt of the goods by returning the goods to UAC_L. To comply with this term, it is sufficient to dispatch the goods in time.

The charges for the return of the goods shall be the responsibility of the customer.

In case of withdrawal, UAC_L will refund the purchase price, if already paid, to the customer. The return charges paid by UAC_L will be deducted from the purchase price. This also applies for refunds to foreign countries.

In case of considerable deterioration in quality of the goods or in case of loss the customer shall make good the corresponding reduction in value or loss to UAC_L if he withdraws the order.

If the customer has already paid the purchase price, UAC_L shall be entitled to deduct the reduction in value from the amount repayable.

Delivery of ordered goods

UAC_L shall deliver the ordered goods to the delivery address indicated by the customer in the order as soon as possible. UAC_L shall be entitled to make partial deliveries.

The costs for the individual deliveries conducted by registered mail are included in the prices indicated in the price list. If the customer requires urgent deliveries e.g. by courier services the processing costs and fees for the courier service shall be charged separately.

Reservation of Ownership

Until complete settlement of all claims against the customer the delivered goods shall remain the property of UAC_L.

Terms of Payment

The purchase price shall be due upon conclusion of the contract.

Payment may be made either by direct billing (only in Switzerland) or by credit card.

If the customer is in default of payment, UAC_L shall be entitled to charge default interests at a rate of 5% per year.

Warranty

In the event that goods to be delivered to the Customer have any defects covered by guarantee, the customer (the buyer) can at his own option either demand that the defects be rectified or a replacement be provided.

Final Provisions

These General Terms and Conditions are governed by the laws of Switzerland.
